Freelancer
Agreement.

This Freelancer / Independent Contractor Agreement (“Agreement”) is entered into between F9XR Team and any freelancer, contractor, or vendor providing services. It protects client relationships, confidential information, and intellectual property.

Independent Contractor

The Freelancer is an independent contractor, not an employee. No benefits, taxes, or employment rights are provided. The Freelancer is solely responsible for their own taxes, insurance, and legal compliance.

Scope of Work

The specific deliverables, timeline, and fees shall be defined in a separate Statement of Work (SOW) or project brief. Any work outside the agreed scope requires a new SOW and additional compensation.

Non-Solicitation of Clients

Client Protection

During the term and for 24 months after, the Freelancer shall not directly or indirectly solicit, contact, or provide services to any client or customer of F9XR Team that the Freelancer interacted with or learned about through their engagement.

This includes, but is not limited to, offering competing services, redirecting work to themselves, or encouraging a client to terminate their relationship with F9XR Team.

No-Poach / Staff Solicitation

The Freelancer shall not, during the term and for 12 months after, recruit, hire, or solicit any employee, contractor, or affiliate of F9XR Team known to them through this engagement.

Confidentiality

The Freelancer agrees to hold all confidential information — including client lists, project details, processes, credentials, and proprietary tools — in strict confidence. This obligation survives termination indefinitely.

Work Made for Hire

All deliverables are “work made for hire.”

Upon full payment, F9XR Team owns all rights, title, and interest in the work product. The Freelancer waives all moral rights and agrees to execute any documents necessary to perfect this transfer.

Payment Terms

Fees, milestones, and due dates will be outlined in the SOW. Invoices must be submitted upon milestone completion. Payment is due within 15 days of invoice approval. No work shall begin without a signed SOW.

Limited Non-Compete

During the term, the Freelancer shall not provide substantially similar services to any direct competitor of F9XR Team in the same geographic market, as defined in the SOW.

Termination

Either party may terminate with 7 days' written notice. F9XR Team shall pay for all work completed and delivered up to the termination date. The surviving obligations (confidentiality, non-solicitation, IP, liability) remain in full force.

Limitation of Liability

F9XR Team's total liability shall not exceed the fees paid to the Freelancer under the applicable SOW. Neither party shall be liable for indirect, incidental, or consequential damages.

Agreement Acceptance

By submitting a proposal, signing a Statement of Work, or accepting payment from F9XR Team, the Freelancer acknowledges they have read, understood, and agreed to this Freelancer Agreement.
